Terms of Service

Welcome to d3cipher. These Terms of Service ("Terms") govern your access to and use of the LockStock platform, including LockStock Core and LockStock Guard services (collectively, the "Services"), operated by d3cipher ("Company," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Definitions

• "Account" means the account you create to access and use the Services.
• "Agent" means an AI agent, bot, or automated system that you register and authenticate through our Services.
• "API Key" means the unique authentication credentials we provide to you for accessing the Services.
• "User Data" means any data, content, or information you submit, upload, or transmit through the Services.

2. Account Registration

To use our Services, you must:

• Create an Account by providing accurate and complete information
• Maintain the security and confidentiality of your API Keys and credentials
• Be at least 18 years old or the age of majority in your jurisdiction
• Have the authority to bind any entity on whose behalf you are using the Services

You are responsible for all activities that occur under your Account, including actions taken by Agents authenticated through your API Keys.

3. Subscription Plans and Billing

Our Services are offered through various subscription plans with different features and pricing. By subscribing to a plan, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide valid payment information and authorize recurring charges
• Accept that fees are non-refundable except as required by law or stated in our refund policy

We offer a 14-day free trial for new subscribers. You may cancel during the trial period without charge. After the trial period, your selected plan will automatically renew unless cancelled.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services for any illegal, fraudulent, or harmful purpose
• Circumvent any usage limits, rate limits, or security measures
• Resell, redistribute, or sublicense the Services without authorization

5. Agent Authentication and Verification

The Services provide cryptographic identity verification for AI agents. You acknowledge that:

• You are solely responsible for the actions of Agents authenticated through your Account
• The cryptographic verification provided is based on the data you submit and does not guarantee the behavior of your Agents
• We may revoke or suspend Agent credentials if we detect violations of these Terms

6. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to our data practices as described in the Privacy Policy.

7. Intellectual Property

The Services, including all software, algorithms, documentation, and content, are owned by d3cipher and protected by intellectual property laws. You retain ownership of your User Data. By using the Services, you grant us a limited license to process your User Data solely for providing the Services.

8. Service Availability and Support

We strive to maintain high availability but do not guarantee uninterrupted access to the Services. We may perform scheduled maintenance and will endeavor to provide advance notice when possible. Support is provided according to your subscription plan level.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, D3CIPHER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO D3CIPHER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless d3cipher, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

Either party may terminate these Terms at any time. You may cancel your subscription through your Account settings. We may suspend or terminate your access to the Services if you violate these Terms or for any other reason at our discretion, with or without notice.

Upon termination, your right to use the Services ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

12. Changes to Terms

We may modify these Terms at any time by posting updated Terms on our website. Your continued use of the Services after such changes constitutes acceptance of the modified Terms. We will provide notice of material changes through the Services or by email.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and d3cipher regarding the Services.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions shall continue in effect.
• Waiver: Our failure to enforce any provision of these Terms does not waive our right to do so in the future.
• Assignment: You may not assign these Terms without our consent. We may assign these Terms to an affiliate or successor.
